Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at cgmotive.ai (the "Site"), operated by CG Motive AI ("CG Motive AI", "we", "us", or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The Site describes CG Motive AI's operations consulting and related services. Any paid engagement (including consulting, audits, blueprints, or custom tools) is governed by a separate written agreement or statement of work between CG Motive AI and the client. In the event of a conflict between those documents and these Terms, the engagement-specific agreement controls for the subject of that engagement.

You agree to use the Site only for lawful purposes. You agree not to:

• Use the Site in a way that violates any applicable law or regulation;
• Submit false, misleading, or fraudulent information via the contact form;
• Attempt to gain unauthorized access to the Site, its systems, or related infrastructure;
• Scrape, crawl, harvest, or use automated tools on the Site at a rate or scale that disrupts its operation;
• Reverse-engineer, decompile, or attempt to derive source code from any portion of the Site or its tools, except as expressly permitted by law;
• Use the Site or contact channels to transmit malware, spam, or harassing content.

The Site, including its text, design, graphics, logos, and underlying code, is owned by CG Motive AI or its licensors and is protected by intellectual property laws. You may view and use the Site for personal and internal business evaluation purposes. No other rights are granted. Ownership of deliverables produced under a paid engagement is governed by the applicable statement of work.

The Site may link to third-party websites or services that we do not control. We provide these links for convenience only and are not responsible for the content, policies, or practices of those third parties. Accessing them is at your own risk.

The Site and any content on it are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Information on the Site is provided for general informational purposes only and is not legal, financial, tax, or professional advice. You should not rely on it without independent professional consultation.

To the maximum extent permitted by law, CG Motive AI and its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site, even if advised of the possibility of such damages. Our aggregate liability for all claims arising out of or relating to the Site will not exceed one hundred U.S. dollars (USD $100), or, for claims relating to a paid engagement, the amount specified in the applicable statement of work.

You agree to defend, indemnify, and hold harmless CG Motive AI and its owners, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Site or your violation of these Terms.

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in or serving New Bern, North Carolina, and you consent to the personal jurisdiction of those courts. Before filing a formal claim, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
